Loral And MDA...DOJ’s Request x 2 Before They Seal The Deal (Company Purchase)

[SatNews] The paperwork created by the legal teams must be phenomenal before the sale of such a large company...

(NASDAQ: LORL) announced that Loral and MacDonald, Dettwiler and Associates Ltd. (MDA) have each received a second request for information from the United States Department of Justice (DOJ) in connection with the agreement to sell Space Systems/Loral, Inc. (SS/L) to MDA.

The DOJ is reviewing the transaction as part of the regulatory process under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (HSR Act), and Loral and MDA will continue to cooperate fully with the DOJ in connection with its review. Loral believes that the focus of the government inquiry is primarily on the satellite communications antenna business in general and MDA's antenna business in particular. The effect of the second request will be to extend the waiting period under the HSR Act until 30 days after there has been substantial compliance with the requests.

Loral Space & Communications is a satellite communications company. Through its Space Systems/Loral subsidiary, the company designs and manufactures satellites and satellite systems for commercial and government applications including direct-to-home television, broadband communications, wireless telephony, weather monitoring, and air traffic management. Loral also owns 64 percent of Telesat, one of the world's largest providers of satellite services. Telesat operates a fleet of telecommunications satellites used to broadcast video entertainment programming, distribute direct-to-home video and broadband data services, and other value-added communications services. On June 26, 2012, Loral announced that it had entered into a definitive agreement to sell Space Systems/Loral to MacDonald, Dettwiler and Associates Ltd. (TSX: MDA). The closing of the transaction is subject to regulatory and other customary closing conditions.
